Welcome to SubMarketIQ. These Terms of Service ("Terms") govern your access to and use of the SubMarketIQ platform and website at submarketiq.com (the "Service"), operated by Murphy Software Labs ("we," "our," or "us").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

SubMarketIQ is an AI-powered real estate market intelligence platform that provides:

• Market search and analysis at the city, ZIP code, and neighborhood level.
• AI-generated investability scores based on multiple data metrics.
• Deal analysis tools including ROI, cash flow, and cap rate calculators.
• Market comparison and watchlist features.
• AI-powered market insights (on eligible subscription plans).

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Accounts & Registration

To access most features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security of your password and account credentials.
• Notify us immediately of any unauthorized use of your account.
• Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Subscriptions & Billing

Plans and Pricing

The Service offers subscription plans (Starter, Professional, and Enterprise) with varying features and limits. Current pricing is available on our pricing page. Prices are subject to change with 30 days' notice.

Billing

• Subscriptions are billed on a recurring monthly basis through Stripe.
• You authorize us to charge your payment method for recurring subscription fees.
• Billing begins on the date you subscribe and renews automatically each billing period.

Cancellation

• You may cancel your subscription at any time through your account billing settings.
• Cancellation takes effect at the end of your current billing period.
• No prorated refunds are issued for partial billing periods.

Refunds

Refunds are handled on a case-by-case basis. If you believe you are entitled to a refund, please contact us within 14 days of the charge.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Attempt to access another user's account without authorization.
• Use automated scripts, bots, or scrapers to access the Service without written permission.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Resell, redistribute, or sublicense access to the Service unless on an Enterprise plan with explicit authorization.
• Interfere with or disrupt the integrity or performance of the Service.
• Upload or transmit malicious code, viruses, or harmful content.
• Use the Service to generate spam or unsolicited communications.

6. Intellectual Property

Our Property

The Service, including all content, features, software, design, text, graphics, and trademarks, is owned by Murphy Software Labs and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written consent.

Your Data

You retain ownership of any data you input into the Service (saved deals, portfolio information, watchlist selections). We do not claim ownership of your data. We use your data solely to provide and improve the Service as described in our Privacy Policy.

7. Data & Accuracy

SubMarketIQ aggregates data from multiple third-party sources. While we strive for accuracy, we make no guarantees regarding the completeness, accuracy, or timeliness of any data, scores, or projections provided through the Service.

AI-generated insights and investability scores are intended as research tools and should not be considered financial, legal, or investment advice. You should independently verify all data and consult qualified professionals before making investment decisions.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not provide investment advice. Any decisions you make based on information from the Service are at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MURPHY SOFTWARE LABS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Service ceases immediately.
• We may delete your account and associated data after a reasonable retention period (typically 90 days).
